B4. Devices and Hardware

The term "Devices" shall be construed broadly to include any and all components, parts, or materials provided by UniWeb as part of the device system, whether or not they are sold separately or as part of an integrated package.

1. Delivery and Inspection:

The devices and hardware shall be deemed delivered when they arrive at the Buyer's specified delivery location. Upon delivery, the Buyer shall inspect the devices within 48 hours to ensure they conform to the agreed specifications and are free from visible defects. Any discrepancies or defects must be reported to UniWeb in writing within this time period.

2. Acceptance of Goods

If the Buyer fails to provide written notice of rejection and the specific reasons for rejection within the aforementioned time period, the devices and hardware will be considered accepted by the Buyer. Acceptance shall confirm that the devices are in satisfactory condition and conform to the requirements of this agreement.

3. Consequences of Rejection

If the Buyer rightfully rejects any devices due to non-conformance or defects, UniWeb shall, at its option, either replace or repair the non-conforming or defective devices at no additional cost to the Buyer, or issue a credit or refund for the non-conforming or defective devices. UniWeb can request the buyer to return the rejected devices to UniWeb or the 3rd party manufacturer at the expense of the Buyer.

4. Warranty Disclaimer

Except as expressly stated in this agreement, UniWeb makes no warranties, express or implied, regarding hardware and devices. All implied warranties, including implied warranties of merchantability and fitness for a particular purpose, are hereby disclaimed.

For Eforto devices, the proper construction, workmanship and materials of this product are warranted by UniWeb BV for a period of 2 years after the date of purchase. During this period of warranty UniWeb will, without charge for labor or parts, at our option, repair or replace the defective product or any defective parts. Repair or replacement is our only responsibility and your only remedy under the warranty.

5. Compliance with Laws

The Buyer is solely responsible for ensuring that the use of the hardware and devices complies with all local, national, and international laws and regulations. UniWeb shall not be liable for any non-compliance with such laws and regulations by the Buyer.

6. Force Majeure

UniWeb shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, government actions, pandemics, natural disasters, or disruptions in the supply chain.

7. Indemnification by Buyer

The Buyer agrees to indemnify, defend, and hold harmless UniWeb from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with the Buyer's use, sale, or distribution of the devices."

8. Limitation on Claims:

Any claim arising out of or related to this agreement or the devices must be brought within one year after the cause of action accrues. Otherwise, such claim or cause of action shall be permanently barred.

9. Product Use and Restrictions

The devices and hardware are sold with the understanding that the Buyer is responsible for ensuring proper training, use, and maintenance. UniWeb is not responsible for problems arising from improper use, handling, storage, or maintenance of the devices."
